Two paths, one objective: to operate in the United States

For entrepreneurs and executives seeking to establish or expand operations in the United States, two visas stand out for their strategic efficiency: the L-1A and the E-2. Although distinct in their requirements and structure, both offer a direct and legitimate path to operate in the U.S. market.

Understanding the differences between them — and when to apply each — is an essential part of any well-structured corporate immigration plan.

L-1A Visa: executive transfers and new office openings

The L-1A is an intra-company transfer visa intended for executives and managers of multinational companies who need to be transferred from an overseas office to an operation in the United States.

For the process to be viable, there must be a qualifying relationship between the foreign company and the U.S. entity — whether as parent and subsidiary, branch, joint venture, or affiliate. The applicant must have worked for the foreign company for at least one of the past three years in an executive or managerial role.

The L-1A also applies to the structured opening of new offices in the U.S. — the so-called L-1A New Office. In this case, the applicant is granted the visa for an initial one-year period, with the possibility of extension based on the development of the U.S. operation.

What characterizes an “executive or managerial role”

This is one of the points most heavily scrutinized by USCIS. For the L-1A, it is not enough to hold a title such as manager or director. The applicant must demonstrate that, in practice, they perform substantive leadership functions — making strategic decisions, managing teams, or overseeing essential business functions.

The documentation and argumentation surrounding the role are critical to avoiding denials — especially in new office cases, where the structure is still being built.

E-2 Visa: the investor who directs the business

The E-2 is intended for nationals of countries that maintain a treaty of commerce and navigation with the United States — and Brazil is among them. The applicant must make a substantial investment in a real, active business in the U.S. and be involved in the development and direction of that enterprise.

Unlike the EB-5, the E-2 does not lead directly to a green card — it is a nonimmigrant visa, renewable indefinitely as long as the business remains operational. But for many entrepreneurs, it is the fastest and most structured entry point to legally operate in the United States.

What constitutes a “substantial investment” for the E-2

There is no fixed minimum amount defined for the E-2 — USCIS evaluates the investment in relation to the total cost of the business. In general, the investment must be sufficient to ensure the company’s operational viability and demonstrate the investor’s genuine commitment.

The capital must be committed and at risk — meaning it must already be invested or irrevocably committed to the business — at the time of the petition.

Which to choose: L-1A or E-2?

The choice depends on the entrepreneur’s profile, the existing corporate structure, and long-term objectives. In some cases, both categories can be strategically combined at different stages of the immigration plan.
